| Service Description | KEISHŌ is an online business succession marketplace that connects business owners seeking succession with prospective buyers, and facilitates introductions and secure information exchange between matched parties. KEISHŌ is a platform facilitator only and is not registered as an M&A advisor. Negotiations and closing are conducted directly between buyers and sellers. |

| Payment Timing | The Auction Setup Fee is charged when a seller initiates a private auction. The Buyer Auction Entry Fee is charged when a buyer enters an auction. The Buyer Success Fee is charged upon a matched introduction or winning bid. |
| Service Delivery Timing | Access to Platform features is granted immediately upon successful payment. Auction access is granted upon confirmation of the Buyer Auction Entry Fee. |
| Cancellation Policy | Buyer Auction Entry Fee: Non-refundable once auction access has been granted. Buyer Success Fee: Non-refundable once the matched introduction service has been provided. Auction Setup Fee: Non-refundable once the auction setup process has commenced. Listing submission is free of charge. |
