| Service Description | KEISHŌ is an online business succession marketplace that connects business owners seeking succession with prospective buyers, and facilitates introductions and secure information exchange between matched parties. KEISHŌ is a platform facilitator only and is not registered as an M&A advisor. Negotiations and closing are conducted directly between buyers and sellers. |
| Service Fees | Buyer Platform Fee (flat, capped; payable by the Buyer after an agreed Letter of Intent on the direct path, or upon a winning bid): • Deal size under ¥10,000,000: ¥200,000 • Deal size ¥10,000,000 – ¥30,000,000: ¥350,000 • Deal size ¥30,000,000 – ¥50,000,000: ¥500,000 • Deal size ¥50,000,000 – ¥100,000,000: ¥900,000 • Deal size ¥100,000,000 – ¥300,000,000: ¥1,500,000 • Deal size ¥300,000,000 and above: ¥2,500,000 Listing submission: Free of charge Private auction initiation: Free of charge |

| Payment Timing | On the direct path, the Buyer Platform Fee is charged after both parties sign the Letter of Intent, calculated from the agreed LOI amount. On the auction path, it is charged upon acceptance of a winning bid. There is no seller auction setup fee and no buyer auction entry fee. |
| Service Delivery Timing | Access to Platform features that do not require payment is granted immediately. Direct-path data-room access and anonymised Q&A are granted after both parties sign the NDA. Auction data-room access is granted after the buyer signs the NDA. Contact details are shared after the Buyer Platform Fee is paid. |
| Cancellation Policy | Buyer Platform Fee: Non-refundable once the matched introduction service has been provided or a winning bid has been accepted. Listing submission and private auction initiation are free of charge. |
| Refund Policy | Fees already paid are generally non-refundable except where required by Japanese consumer protection law. Requests for exceptional refunds should be directed to admin@keisho.ai. |
| Other Charges | If parties complete a transaction introduced through KEISHŌ without paying the Buyer Platform Fee, liquidated damages of three times the applicable Buyer Platform Fee become payable (see Terms of Service, Non-Circumvention), jointly and severally by buyer and seller, for 24 months after the last platform-facilitated introduction or disclosure. |

| Technical Requirements | A modern web browser (Chrome, Firefox, Safari, or Edge, latest two major versions) and an internet connection are required to use the Service. |
| Price Display | All prices are displayed in Japanese Yen (JPY) and are inclusive of applicable Japanese consumption tax (消費税) at the current statutory rate, unless otherwise stated. |
